On 24 April, the Trustees held our second Annual General Meeting where we gathered not just as members but as a family.

We convened in the spirit of unity and delved into the heart of our association—examining the vibrant tapestry of our membership, the intricate gears of our operations, and the fruits of our collective labour. ?

The full replay of the AGM, together with the results of voting, and our Annual Newsletter are in the platform for members to review, with changes being implemented as of 1st July 2024.

The enhancements are more than administrative changes—they are a reflection of our learning and growth, by which we aim to fortify our foundation, curtail resource misuse, and welcome members who share our ethos of balance and equity.

The narrative of our future is still being written, and it is one filled with promise and potential.

A Private Members Association is often referred to as an ‘unincorporated association’. They are membership organisations that belong to its members. It is a type of trust structure and can be whatever its members want it to be and carry out whatever activity the members choose.

According to Lawton LJ in Conservative Central Office v Burrell [1982], an unincorporated association will have the following features:

? two or more persons bound together for one or more common purposes (not being business purposes);
? having mutual rights and duties arising from a contract between them;
? in an organisation with rules to determine who controls it and its funds and on what terms; and
? which members must be able to join or leave at will.

These groups are not covered by the Companies Act 1996, hence they have no legal personality, existing in their own right, and cannot own property.

The Trustees or Management Team are accountable to their members, and the members can vote to change the way the trust is managed or even the people who are in control.

Trustees are responsible for the financial health of the organisation and have stewardship of the organisation’s funds. All trustees must take responsibility for this and must put adequate safeguards and controls in place to avoid fraud and incompetence.

Trustees must be transparent with its members (beneficiaries) with regards to finances and accounts. They need to be able to present and summarise key financial issues ensure financial information is accessible to, and can be understood by, its members, with the Trustees being held personally liable for any debts of the PMA.

If you are part of a “PMA” that does not:

? Have a common/shared goal
? Have a constitution (contract) in place with its members
? Have Trustees that are transparent with finances and accounts
? Include Voting rights
? Hold Annual General Meetings
? Treat its members as the ultimate owners/beneficiaries
? Undertake activities to benefit its members

Then you are likely to be part of an organisation that is NOT a PMA, but instead is a company or individual masquerading as a PMA, for the sole benefit of that company or individual.
